O2O Platform

Terms & Conditions

These terms govern access to and use of the O2O Platform, the private operations system operated by CTG4U RETAIL SDN. BHD. for its appointed retailers and its own staff. Please read them before you sign in.

1.Who we are, and what these terms cover

The O2O Platform (the Platform) is operated by CTG4U RETAIL SDN. BHD., Company No. 202601026837 (1688933-M), of Level 1, Tamarins House, No. 46, Pengkalan Weld, 10300 George Town, Pulau Pinang, Malaysia. In these terms, we, us and our mean that company; you and your mean both the individual signing in and the business whose account is being used.

By signing in you accept these terms, on your own behalf and on behalf of the business you are authorised to represent. If you do not accept them, do not sign in.

Where you have signed a separate supply, appointment or distribution agreement with us, that signed agreement prevails to the extent of any inconsistency. These terms govern your use of the Platform itself and fill in anything that agreement does not cover.

2.The Platform is a closed system

There is no public registration. Accounts are created by our administrators for named individuals — staff at retailers we have appointed, and our own personnel. You may not create an account for anyone else, and you may not use the Platform for any business other than the one we appointed you for.

To hold an account you must be at least 18 years old and authorised by your employer to act on its behalf in dealings with us. Access to the Platform is a permission we grant, not a right, and it can be withdrawn under section 20.

3.Accounts, passwords and sessions

  • New accounts are issued with a one-time temporary password. The Platform requires you to replace it with your own password the first time you sign in.
  • Accounts are personal. Do not share your password, and do not let anyone else sign in as you — including colleagues at your own store.
  • Anything done under your account is treated as done by you. Keep your device locked and sign out on shared hardware.
  • If you believe your password has been discovered or your account has been used without your knowledge, change your password and tell us immediately at abel.tie@ctg4u.com.
  • Sessions expire after a period of inactivity, and are revoked immediately when an account is suspended or deactivated.

4.Roles and the limits of your access

Every account carries a role — for example Retailer, Operation Admin, Project Manager, Finance, Management or Admin — and that role determines what you can see and what you can change. Retailer accounts are scoped to their own retailer's records: its catalog, stock, orders, deliveries and invoices, and nothing belonging to another retailer.

You must not attempt to reach data outside your role, whether by guessing addresses, altering requests, or using credentials that are not yours. Attempting to do so is a material breach of these terms.

Our administrators may act on the Platform on a user's behalf for support, correction and investigation. Where that happens the action is recorded in the audit log against both the administrator and the account acted upon.

5.Acceptable use

You agree not to:

  • use the Platform for anything other than the business we appointed you for;
  • extract catalog, pricing, promotion or stock data in bulk, except through the export features we provide;
  • probe, scan, load-test, reverse engineer or attempt to circumvent any security or access control, without our prior written consent;
  • upload malware, or content that is unlawful, infringing or misleading;
  • use our catalog, prices, promotional terms or stock information to compete with us, or to supply anyone outside your appointment;
  • record deliveries, counts, receipts or signatures that do not reflect what actually happened.

6.Catalog, prices and stock figures

Products, wholesale prices and promotional terms are set per project. The price that applies to an order is the one recorded on the Platform for your project at the time the order is confirmed. Unless stated otherwise, prices exclude delivery charges and any applicable taxes or duties.

We may change the catalog, prices, promotions and availability at any time. A change does not affect an order that has already been confirmed.

Stock figures shown on the Platform are operational indications drawn from our records. They are not a warranty that a given quantity is available to you, and they are not an offer to supply it.

7.Sales orders

An order begins as a draft. A draft is a request, not a contract, and can be amended or cancelled while it remains a draft. A binding contract of sale arises only when the order is confirmed on the Platform.

We may decline an order, reduce a quantity, substitute an equivalent product, or split an order across more than one delivery — for reasons including stock availability, your credit standing, a product recall, or a regulatory requirement. Where we do, we will tell you through the Platform.

Amending or cancelling a confirmed order requires our agreement. Goods already dispatched are dealt with as a return or a recall under section 10.

8.Delivery, risk and title

We deliver to the destination recorded on your account — your storefront or your receiving warehouse, as tagged on your retailer record. Deliveries may be made by our own personnel or by third-party couriers, including Ninja Van, J&T Express, Pos Laju, DHL and LineClear Express.

Tracking information shown on the Platform is supplied by the courier and is passed on as we receive it. Delivery dates are estimates. We are not liable for delay caused by a courier, by weather, or by any other event outside our reasonable control.

Risk in the goods passes to you on delivery to the recorded destination. Title stays with us, or with the issuing company named on the invoice, until that invoice has been paid in full. Until title passes you must keep the goods identifiable and insured, and you must not pledge them as security.

Keep your delivery address, contact person and telephone number current on the Platform. A failed or re-routed delivery caused by out-of-date details is chargeable to you.

9.Receiving goods, proof of delivery and discrepancies

On delivery, the person receiving the goods checks them and signs on the Platform. The signature captured — together with the printed name, designation and contact number given at that moment — is your acknowledgement of the quantities shown on the delivery order at the time of signing.

Report any shortage, damage, wrong item or other discrepancy through the Platform's dispute flow within three (3) business days of delivery, with photographs where the issue is visible. If nothing is raised within that period, the signed delivery order stands as the record of what was received.

We will investigate a dispute raised in time and, where we uphold it, correct the delivery record and issue a replacement or a credit note. Quantities on a delivery order can change after signing when a dispute is resolved; the copy you actually signed is retained unaltered and remains available on the Platform.

10.Recalls, returns and stock movements

We may recall a product for quality, safety, regulatory, labelling or commercial reasons. On receiving a recall notice you must stop selling the affected stock immediately, separate it from saleable stock, and make it available for collection or return as instructed, within the time stated in the notice.

Returns other than recalls require our prior authorisation. Unauthorised returns may be refused, and returned goods remain at your risk until we receive them. Goods must be returned in the condition and packaging we specify.

We may direct that stock be transferred between your locations or returned to us. The transfers, counts and stock takes recorded on the Platform are the operative record of where stock sits. You must keep those records accurate, carry out counts when we ask, and report loss or damage promptly.

11.Invoices and payment

Invoices are issued on the Platform by the issuing company named on the invoice, and are payable to the bank account stated on that invoice. Check the payee details on every invoice. We will never ask you to redirect a payment to a different account by email or message alone — if you receive such a request, call us on the number in section 24 before paying.

Payment terms are those recorded on your account: 60 days from the invoice date, plus any grace period recorded against your account, unless we have agreed something different with you in writing.

You may pay online through our payment gateway, Fiuu, or by any other method stated on the invoice. A successful gateway authorisation marks the invoice as paid on the Platform, but settlement of the funds to us usually takes a further one to two business days and is confirmed separately by our finance team. Until the funds have cleared we may continue to treat the invoice as outstanding.

Invoices are payable in full, without set-off or deduction, other than a credit note we have issued to you.

12.Late payment, credit hold and set-off

If an invoice is not paid by its due date, together with any grace period recorded against your account, we may do any of the following without further notice:

  • withhold or reduce further supply, and place restocks on hold;
  • require payment in advance for subsequent orders;
  • apply any credit note, deposit or other amount standing to your benefit against the outstanding balance;
  • charge interest on the overdue amount at the rate stated on the invoice or otherwise agreed in writing;
  • suspend access to the Platform under section 20.

We may set off any amount you owe us against any amount we owe you. Reasonable costs of recovering an overdue debt, including legal fees, are for your account.

13.Credit notes

Credit notes are issued at our discretion for authorised returns, upheld delivery disputes, recalls, promotional adjustments and pricing corrections. A credit note is applied against an outstanding or future invoice. It is not a cash refund unless we confirm otherwise in writing.

14.Information you put into the Platform

You are responsible for the accuracy of what you enter — contacts, addresses, counts, receipts, uploaded documents and photographs — and for keeping it current. You confirm that you are entitled to give us any personal data of your staff that you enter, and that you have told them how it will be used. See our Privacy Policy.

The records created on the Platform — orders, delivery orders, signatures, stock movements, invoices, credit notes and the audit log — are our business records. In the absence of manifest error they are the record we rely on in dealings between us.

15.Intellectual property

The Platform, including its software, interface, design, documentation, product content, imagery and data compilations, belongs to us or to our licensors. Nothing in these terms transfers any of it to you.

While your account is active we grant you a limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to access and use the Platform for the business we appointed you for. You may use product imagery and copy from the Platform to sell the products we supply to you, and for no other purpose. You may not copy, frame, republish or use any part of it to build a competing product or service.

16.Confidentiality

Wholesale prices, margins, promotional mechanics, catalog and supply data, other retailers' details, and anything else you learn through the Platform that is not public, are confidential. Use them only for the business we appointed you for, disclose them only to staff who need them for that purpose, protect them as you would your own confidential information, and return or destroy them when your access ends. This section survives termination.

17.Availability, changes and support

We aim to keep the Platform available, but we do not guarantee uninterrupted or error-free access. It may be unavailable during maintenance, or because of a failure at a hosting, payment or courier provider we depend on. We may add, change or withdraw features.

Support is available through the contact details in section 24 and through any other channel we designate.

18.Disclaimers and limitation of liability

To the fullest extent permitted by law, the Platform is provided on an "as is" and "as available" basis, without warranty of any kind beyond those the law implies and does not allow us to exclude.

We are not liable for:

  • indirect or consequential loss, or loss of profit, revenue, goodwill, business or anticipated savings;
  • loss or corruption of data not caused by our negligence;
  • loss arising from courier tracking or delivery information supplied to us by a third party;
  • loss arising from your failure to keep your credentials secure, or your records on the Platform accurate.

Our total aggregate liability in connection with the Platform, whether in contract, tort (including negligence) or otherwise, is limited to the total amounts you paid us under invoices issued in the twelve (12) months before the event giving rise to the claim.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by our negligence, and nothing limits any right you have under the laws of Malaysia that cannot be contracted out of.

19.Indemnity

You will indemnify us against any claim, loss, liability, cost or expense (including reasonable legal fees) arising from your breach of these terms, your misuse of the Platform, content you upload, or use of the Platform by anyone you allowed to use your account.

20.Suspension and termination

We may suspend or end your access immediately where:

  • you breach these terms;
  • an invoice is materially overdue;
  • we suspect a security incident, fraud or misuse of an account;
  • your appointment or employment ends; or
  • we are required to do so by law.

Either of us may end access on written notice. The commercial relationship between us is governed by any supply or appointment agreement you have signed, and ending Platform access does not by itself end that agreement.

Termination does not affect rights that have already accrued. Outstanding invoices remain payable. Sections 14 to 19, 22 and 23 survive. After access ends we retain records as described in the Privacy Policy and as required by law.

21.Changes to these terms

We may amend these terms. The current version is always published on this page with the date it was last updated. Where a change materially affects you we will tell you through the Platform or by email. Your continued use of the Platform after a change takes effect is acceptance of the amended terms.

22.Governing law and jurisdiction

These terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of Malaysia. The courts of Malaysia have exclusive jurisdiction. Before commencing proceedings, please raise the matter with us using the details in section 24 so that we can try to resolve it in good faith.

23.General

  • Entire agreement. These terms, together with any supply or appointment agreement you have signed and our Privacy Policy, are the entire agreement between us on their subject matter.
  • Severability. If any provision is held unenforceable, the rest continues in force.
  • No waiver. A delay in enforcing a right is not a waiver of it.
  • Assignment. You may not assign or transfer your rights without our written consent. We may assign to a group company or to a successor of our business.
  • Notices. We may give notice through the Platform or to the email address on your account. Notices to us go to the address in section 24.
  • Independent businesses. Nothing here creates a partnership, joint venture, agency or employment relationship between us.
  • Force majeure. Neither of us is liable for failure or delay caused by an event outside our reasonable control.
